STRATEGY SESSION AGREEMENT
This Agreement is entered into between Sharper Strategies (“Advisor”) and the undersigned client (“Client”).
1. Scope of Services
Advisor agrees to provide one (1) 50-minute business advisory strategy session.
The session is intended to identify growth constraints, structural gaps, and potential next steps for the Client’s business.
No ongoing advisory relationship is created by this session.
2. Advisory Nature of Services
Advisor provides strategic business advisory services only.
Advisor does not provide legal, tax, accounting, financial, or investment advice.
All decisions made by Client following the session are solely the responsibility of the Client.
3. No Guarantees
Client acknowledges that business outcomes depend on execution, market conditions, leadership decisions, and other factors beyond Advisor’s control.
No guarantees are made regarding revenue growth, profitability, operational improvements, enterprise value, or future business results.
4. Payment & Refund Policy
The Strategy Session fee is $100 USD. Payment is required prior to the session. Fees are non-refundable. Sessions may be rescheduled with at least 24 hours’ notice. Failure to attend without notice forfeits the session fee.
5. Limitation of Liability
To the fullest extent permitted under North Carolina law:
Advisor shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from advisory discussions or Client’s implementation of recommendations.
Advisor’s total liability shall not exceed the amount paid for the Strategy Session.
6. Intellectual Property
All frameworks, models, documents, and materials shared during the session remain the intellectual property of Sharper Strategies.
Client may use materials internally but may not reproduce, distribute, or resell them without written consent.
7. Arbitration Agreement
Any dispute arising from this Agreement shall be resolved through binding arbitration in the State of North Carolina in accordance with the rules of the American Arbitration Association.
Both parties waive the right to a jury trial.
No class actions or consolidated proceedings are permitted.
8. Governing Law
This Agreement shall be governed by the laws of the State of North Carolina.
